Our terms and conditions for using Caffara AI services

Acceptance of Terms
By accessing and using Caffara AI's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
Description of Service
Caffara AI provides artificial intelligence solutions, automation services, consulting, and related technology services to businesses. Our services include but are not limited to AI development, machine learning implementation, process automation, and strategic consulting.
Service Agreement and Pricing
All services are provided according to the agreed scope of work and timeline as outlined in individual service agreements. Pricing is determined based on project complexity, duration, and resource requirements. Payment terms are specified in individual contracts.
Payment Terms
Payment is due according to the agreed schedule in your service agreement. Setup fees are typically due upon project commencement, with monthly fees billed in advance. Late payments may result in service suspension.

- • Applies to Launch and Growth plans for new clients only
- • Covers the setup fee only; excludes third-party pass-through costs (ads, phone minutes, SMS, API, platform subscriptions)
- • Must be requested within 30 days from project kick-off, and after providing the required access/data on time
- • One guarantee per company; work product reverts to Caffara AI upon refund
Intellectual Property Rights
Upon full payment, clients retain ownership of custom-developed solutions. Caffara AI retains rights to general methodologies and may use anonymized insights for service improvement.
All pre-existing intellectual property, including but not limited to software frameworks, methodologies, and proprietary tools, remains the property of Caffara AI. Clients receive a license to use custom solutions developed specifically for their projects.
Confidentiality and Data Protection
We maintain strict confidentiality of all client data and business information. We implement enterprise-grade security measures and comply with applicable data protection regulations.
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of the service agreement.
User Responsibilities
Clients are responsible for providing accurate information, timely feedback, and necessary access to systems and data. Clients must ensure they have appropriate rights to any data or systems they provide access to.
Service Availability and Performance
While we strive for high availability and performance, we do not guarantee uninterrupted service. Scheduled maintenance and updates may temporarily affect service availability.
Limitation of Liability
Our liability is limited to the amount paid for services in the twelve months preceding any claim. We provide solutions in good faith but cannot guarantee specific business outcomes. In no event shall Caffara AI be liable for indirect, incidental, or consequential damages.
Indemnification
Clients agree to indemnify and hold harmless Caffara AI from any claims arising from the client's use of our services, violation of these terms, or infringement of third-party rights.
Termination
Either party may terminate services with 30 days written notice. Clients remain responsible for payment of services rendered through the termination date. Certain provisions of this agreement survive termination, including confidentiality and intellectual property clauses.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.
Governing Law and Dispute Resolution
These terms are governed by the laws of California, United States. Any disputes shall be resolved through binding arbitration, except for claims of intellectual property infringement.
Modifications to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated to clients with at least 30 days notice. Continued use of our services after changes constitutes acceptance of the new terms.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
